Our client, an Am Law 100 firm, is seeking a highly skilled transactional attorney (Senior Associate or Senior Counsel) with at least eight years of relevant experience to join its nationally recognized Public Finance practice, with a specialized focus on health care finance in our Austin, Dallas, Houston, San Antonio, TX, Chicago, IL, Denver, CO, Los Angeles, San Francisco, CA, Minneapolis, MN, NYC, NY, St Louis, MO, or Washington, DC office locations.
This is an exceptional opportunity to advise nonprofit health systems, senior living operators, and government entities on complex, high-profile financings. The role spans a broad range of tax-exempt and taxable transactions, including M&A-related refinancings, interest rate products, swap portfolio restructurings, and economic development initiatives.
Key Responsibilities:
Serve as bond counsel, borrowers' counsel, underwriters' counsel, or bank counsel for tax-exempt and taxable financings in the health care sector.
Draft and negotiate financing documents, including disclosure statements, trust indentures, loan agreements, and swap documentation.
Advise on public finance transactions for senior living facilities and other nonprofit and for-profit health organizations.
Support financings tied to health care M&A activity and debt portfolio restructuring.
Contribute to large-scale public-private partnerships and economic development deals involving municipal stakeholders.
Manage deal teams and coordinate due diligence and closing activities.
Key Qualifications:
8+ years of legal experience with a strong focus in public finance, health care finance, or related transactional practice.
Deep familiarity with tax-exempt financing structures, capital markets, and credit instruments.
Experience advising nonprofit health systems, senior living facilities, or governmental issuers is highly preferred.
Excellent drafting, negotiation, and client relationship management skills.
Strong collaborative mindset and the ability to lead complex transactions from start to finish.
